PREFACE

MĀKIA MAKER BRIEF

The ensuing Mākia Maker Brief applies to all individuals that submit the Mākia Maker Application with the intent to participate in a Mākia Market (“the event“) as a vendor. The Mākia Market and Mākia Collective LLC reserve the right to alter, modify, and/or add to the rules and regulations of the Mākia Maker Brief and Mākia Maker Application. Please note that submitting a Mākia Maker Application and agreeing to the Mākia Maker Brief does not guarantee acceptance as a Mākia Maker nor acceptance to vend at a Mākia Market. Applicants ("the maker"/”the vendor") will be selected based on fit for the event as well as to ensure an equal opportunity for both new and returning vendors. Maker acceptance is authorized on a rolling basis by the Mākia Market, who reserves the right to refuse acceptance. Applicants will be notified of their application status (accepted or deferred) through the email provided in their application. Deferred applicants are welcome to submit another Mākia Maker Application for reconsideration.

 

The ensuing Mākia Maker Brief should be read in its entirety before proceeding to the Mākia Maker Application.

ABOUT THE MĀKIA MARKET

The Mākia Market ("the market") serves as a platform where established and aspiring entrepreneurs alike can come together to share their visions, grow their ventures, and nurture the next generation of entrepreneurs in Hawai'i. By bringing together entrepreneurs at every level of their journey, we foster a safe and supportive space in which innovation and creativity strengthen both business ventures and our community.

 

A [project] presented by Mākia Collective, our makers market persists to further the Mākia Mission to empower youth entrepreneurship grounded in passion and purpose, mākia. Mākia Markets feature a variety of Mākia Makers thoughtfully curated to prioritize inclusivity as well as offer a diverse representation of products. Students currently enrolled at any public, private, online, or homeschool institution in grades Kindergarten—Undergraduate University during the 2025-2026 school year are eligible to apply as a Student Maker and receive a reduced Student Vendor rate. In alignment with our commitment to facilitate accessible entrepreneurship opportunities, the Mākia Market strives to keep vendor fees as minimal as possible, allowing our entrepreneurs to focus on the growth and development of their businesses.

I. VENDOR GUIDELINES

A. STUDENT VENDORS

Students currently enrolled at any public, private, online, or homeschool institution in grades Kindergarten—Undergraduate University during the 2025-2026 school year are eligible to apply as a Student Mākia Maker and receive a reduced Student Vendor Rate. Applying businesses must be operated by the applying student(s).

B. NON-STUDENT VENDORS

Any and all businesses are invited to apply as a Mākia Maker.

II. VENDOR RELATIONSHIP

If accepted as a Mākia Maker, the applying business and its associated members agree to conduct themselves professionally, respectfully, and show aloha to the Mākia Market team, volunteers, fellow vendors, contractors, and attendees.

 

Correspondence by any means may not defame, disparage, and/or attempt to damage the professional reputation of the Mākia Market, Mākia Collective LLC, and/or its management team, members, sponsors, or contractors. Vendors determined to be in noncompliance may not be invited back to future Mākia Market events, may be asked to vacate their vendor booth space without refund or credit, and may have their Mākia Maker ID suspended.

III. PROMOTION

If accepted as a Mākia Maker, the applicant agrees to authorize the Mākia Market to use uploaded product photos or pre-existing public content for promotional purposes. Makers may be contacted by the Mākia Market to obtain additional content and information. Media coverage is not guaranteed.

IV. PRODUCT GUIDELINES

A. GENERAL PRODUCT GUIDELINES

If accepted as a Mākia Maker, all products sold and/or advertised for sale must be approved by the Mākia Market and must meet applicable legal requirements and regulations. If product(s) indicated on a Mākia Maker Application are not approved, the applicant will be deferred. If intending to sell any additional product(s) that substantially deviate from the nature of those initially included on a Mākia Maker Application, please email market@makiaco.com.

B. INTEGRITY

If accepted as a Mākia Maker, the applying business affirms that all product(s) sold and/or advertised for sale are of original artwork, designs, inventions, recipes (etc.), and have not knowingly infringed upon intellectual property. By participating in a Mākia Market, Makers hereby agree to indemnify, defend, and hold harmless the Mākia Market and Mākia Collective LLC from any and all liability arising from any such infringement upon the intellectual property of others.

 

C. MISBRANDING

Hawai'i law, HRS § 486-118, provides that one cannot introduce into the State or offer to sell any consumer commodity which is misbranded or misrepresented in any manner. Products must be accurately described (e.g. colors, materials, ingredients, best by dates/expiration dates) and not mislabeled or labeled in any manner that is misleading or false. If accepted as a Mākia Market vendor, the applying business affirms that it will comply with the requirements of HRS § 486-118.

 

D. FOOD PRODUCT REQUIREMENTS

If accepted as a Mākia Maker, the applying food/beverage-related business affirms that all products including food articles, food ingredients, food labeling, and food packaging relating to or comprising the food products, or any part thereof offered for sale, sold, or delivered through the Mākia Market shall stay in full compliance with all laws, rules, and regulations applicable to the said products. Additionally, the applying business affirms that the said products shall be manufactured, stored, and delivered in accordance with appropriate “Good Manufacturing Practices” or similar practices promulgated under the laws, amendments, rules, regulations, as applicable, in accordance with all local health and sanitary ordinances or regulations applicable to the vendor's activities involving the said products. By participating in the event, Vendors hereby agree to indemnify, defend, and hold harmless the Mākia Market and Mākia Collective LLC from any and all liability arising from any violation of applicable laws, amendments, rules, or regulations related to their product.

 

If accepted as a Mākia Maker, it is requested that vendors pre-package products and maintain a clean space if planning on providing samples. It is suggested that vendors selling homemade products such as breads, cookies, cakes, and other items listed on the Department of Health Homemade Food Operation HMF Handout list ingredients on its packaging alongside the following statement: "Made in a kitchen not routinely inspected by the Department of Health."

E. COMPLIANCE

If accepted as a Mākia Maker, the applying business affirms that its products comply with all applicable laws, including, but not limited to those relating to product and consumer safety, and that its products do not violate, infringe upon, or misappropriate the rights of any third-party, including, but not limited to any rights of privacy or publicity, as well as any intellectual property or other proprietary rights. Products determined to be in non-compliance with such requirements or that violate applicable laws may not be allowed to be sold at a Mākia Market.

V. BOOTH SPECIFICATIONS

A. BOOTH RATES

Vendor rates differ depending on the given event. Vendor payments may be submitted by cash, check, or Venmo. Please note participation is non-refundable if not withdrawn by the stated event withdrawal deadline. The Mākia Market and Mākia Collective LLC reserve the right to revoke booth access if a failure to submit timely payment occurs.

B. BOOTH INCLUSIONS

- Vendor booth sign

- Mākia Market investment in social media, public relations, print advertising, promotions, and marketing materials.

VI. BOOTH POLICIES

A. HOURS OF OPERATION

Vendors shall remain open for the full duration of the given event and shall not close or breakdown their booth before the specified event end time, regardless of product availability—unless granted explicit permission from the Mākia Market. Vendors are asked to wear their vendor badges at all times during an event.

 

Student Mākia Makers: The applying student(s) are required to be present at the event to represent their business, answer questions, and receive the full experience of participating in a Mākia Market. If the applying student(s) are unable to meet this requirement, please email market@makiaco.com as soon as possible. Parents of vendors under the age of 18 are highly encouraged to accompany their child/children vendors during the duration of the event. The Mākia Market and Mākia Collective LLC will not be responsible for the supervision of any child vendor, and by participating in the Mākia Market event, parents/legal guardians of student vendor applicants implicitly agree that the Mākia Market and Mākia Collective LLC are not liable for any damages of any kind whatsoever to vendors at an event.
 

Non-Student Mākia Makers: Non-student vendors are responsible to have booth staff/personnel present at all times during the Mākia Market hours of operation.

B. TRANSACTIONS

All vendors are responsible for handling their own transactions.

C. BOOTH SHARING

Vendors booth sharing policies shall differ depending on the event.

D. BOOTH SUBLETTING

Vendors shall not sublet their booth.

 

E. BOOTH DISPLAYS & DECORATIVE MATERIALS

Booth displays and merchandise must be contained within the specified booth space and must not obstruct views or access to fellow booths. Water features, open flames, and tents are prohibited. All decorative materials displayed or installed in booths must be flameproof to satisfy Public Safety and Fire Regulations.

F. BOOTH MAINTENANCE

Vendors are required to maintain the presentation of the areas in and immediately around their booth during load-in, event hours, and load-out.

VII. PUBLIC SAFETY

If accepted as a Mākia Maker, the applicant agrees not to bring onto the event venue premises any equipment, object, material, or substance likely to endanger the life of, or injure any individuals, or constitute a hazard to the property.

VIII. LIABILITY

The Mākia Market and Mākia Collective LLC are not liable for any damaged, lost, stolen, or otherwise missing merchandise, or loss of sales brought to the venue by the Vendor. The Mākia Market and Mākia Collective LLC are not liable for any damage done to the Mākia Market venue by vendors, their members, or their volunteers. A pre and post event evaluation of the space will be completed by the Mākia Market. If accepted as a Mākia Maker, the applying business agrees to be solely responsible for any damage and associated costs for damaged property at the venue by themselves, their members, or their volunteers. If accepted as a Mākia Maker, the applicant agrees to defend, indemnify, and hold the Mākia Market, Mākia Collective LLC, and its management team, members, and contractors harmless from and against any and all claims and actions for property damage, personal injury, or death arising from or resulting from or in anyway connected to the operation of the booth of the vendor at the Mākia Market, including claims by the employee(s) of the vendor against the Mākia Market and Mākia Collective LLC. The applying maker agrees to defend, indemnify, and hold harmless the Released Parties from and against any and all expenses, costs, damages, claims, lawsuits, judgments, losses, and/or liabilities (including attorney fees) arising directly or indirectly from, connected with or related to any and all Released Claims.

IX. FORCE MAJEURE

Neither the Mākia Market and Mākia Collective LLC nor vendors shall be served liable for any costs and/or damages due to delay or nonperformance under this Agreement arising out of any cause and/or event beyond either Party’s control, including, but not limited to, Acts of God, fire, flood, earthquake, explosion, or other natural forces, civil unrest, war, government action, accident, work stoppage, power or other mechanical failure, or communication disruption, including a pandemic. A Party claiming the benefit of such provision shall, as soon as reasonably practicable after or during the occurrence of any such event, a. provide written notice to the other Party of the nature and extent of any such Force Majeure condition; and b. use commercially reasonable efforts to remove any such causes and resume performance under this Agreement, as applicable, as soon as reasonably practicable.

X. PARTICIPATION WAIVER & PHOTO RELEASE

By submitting a Mākia Maker Application, I, Maker applicant, confirm that I have read, understand, and agree to the Mākia Maker Brief in its entirety. I confirm that I, as the maker, and my products qualify to participate in a Mākia Market. I, Maker applicant, waive and release any and all rights and claims, damages, and injuries I, my child, my business, and/or my staff may have against the Mākia Market, Mākia Collective LLC and/or its management, members, volunteers, sponsors, or contractors. I, Maker applicant, agree to comply with the policies, rules and regulations,

terms and conditions, and guidelines as set forth in this Mākia Maker Brief and in all forthcoming Event Briefs.

 

By submitting a Mākia Maker Application, I, Maker applicant, also consent to the use of my, my child, my business, and/or my staff’s name(s) and/or pictures in media arising out of participation in a Mākia Market without any payment to me, my child, my business, and/or my staff.

XI. WITHDRAWALS

If accepted as a Mākia Maker and, subsequently, a Mākia Market vendor and the applicant determines that they can no longer participate in the event, please notify market@makiaco.com by the stated event withdrawal deadline. Withdrawals made before the designated deadline are eligible for a full refund.

XII. MĀKIA MAKER BRIEF AGREEMENT

By submitting a Mākia Maker Application, I, Mākia Maker applicant, confirm that I have read, understand, and agree to the Mākia Maker Brief in its entirety.
